Led by the CEO, the management team implements the Board’s strategic directives and oversees the day-to-day management and operation of the Group’s business. This ensures that our strategic goals are met and that our operations align with our values and objectives.

Operating on a global scale, PIL is committed to complying with all applicable laws and regulations while delivering value to our stakeholders. We uphold a zero-tolerance policy towards bribery, corruption, sanctions non-compliance, competition non-compliance, or any violations of laws and regulations.

Our compliance programmes adopt the Integrated Assurance Framework and focus on culture, policies, controls, training and communication, risk and control assessment, and monitoring.

Culture Playbook

Our Culture Playbook shares what PIL believes in and our unique way of doing things. Guided by our core values of people-centric, pushing boundaries, and future-focused, the playbook embodies our commitment to living our values in action. It serves as a guiding compass for how we conduct business and respect each other at PIL.

Whistleblowing Policy

PIL’s Whistleblowing Policy and reporting channels facilitate responsible and secure whistleblowing to the Whistleblower Committee, empowering both employees and external stakeholders to report concerns or complaints without fear of retaliation, discrimination, or adverse consequences. 

The reporting channels also allow whistleblowers to report anonymously. However, we encourage whistleblowers to provide their names in case further information or clarification is required.

PIL’s Whistleblower Committee comprises Mr SS Teo, Executive Chairman and Mr Lars Kastrup, Chief Executive Officer. The Internal Audit Department (which has a direct reporting to the Audit and Risk Committee) manages the Whistleblower reporting channels and provides support to the Committee. All investigated cases are reported to the Audit & Risk Committee, which comprises Independent Directors. 

Reportable incidents include the following:

  • Questionable accounting matters
  • Conflict of interest
  • Insider trading
  • Acts of corruption and bribery
  • Collusion with competitors
  • Breaches of company policies
  • Unsafe work practices
  • Fraud
  • Employee misconduct
  • Other matters of concern not listed above

Attention: Whistleblower Committee

To enable us to effectively investigate your concerns, the following information should be provided, where possible:

  • Name(s) of person(s) / company(ies) involved
  • Date, time and location of incident
  • Frequency of occurrence of the incident
  • Value of any money or assets involved
  • Details of evidence (if any)
  • Any other information that may substantiate the concern

RISK MANAGEMENT

PIL implements an Integrated Assurance Framework (IAF) (which incorporates the three-line model) to assist the Board and management in reviewing its risks and ensure the adequacy and effectiveness of the risk and internal controls framework.

Based on principles from COSO Enterprise Risk Management Framework and ISO 31000, the IAF covers the governance structure, roles & responsibilities, processes that support PIL’s risk management system and workflow. This provides a systematic approach to assess the adequacy and effectiveness of the risk management systems, processes and procedures.

INFORMATION SECURITY AND DATA PROTECTION

At PIL, we recognize the critical importance of information security and data protection as integral components of our sustainability management approach.

In the digital age, safeguarding our customers’ data and ensuring the integrity of our information systems is not just a regulatory requirement but a cornerstone of trust in the container shipping industry. We believe that a proactive stance on information security and data protection is essential to our mission of providing reliable and sustainable container shipping services.

SUSTAINABLE PROCUREMENT

PIL aims to improve its position as a sustainable company and shall continually assess its impact on environment, social and governance (ESG) aspects. Procurement is a key part of this approach we expect our suppliers to share and align with PIL’s sustainability objectives.

We recognise that suppliers, vendors, and contractors are indispensable allies in our journey towards sustainable operations and accordingly, our supply chain management strategy involves building a resilient, responsible, and diversified supply chain and all suppliers are qualified in accordance with our requisition and purchasing policies and are expected to commit to the PIL Supplier Code of Conduct.

The PIL Supplier Code of Conduct has been issued to outline our expectations regarding:

  • Labour and Human rights
  • Business Integrity
  • Health and Safety
  • Environmental Management and Sustainability

We also developed the Sustainable Procurement Policy to provide clear guidelines on incorporating sustainability considerations in procurement processes, setting out our responsibilities to incorporate sustainability considerations in the procurement of goods and services that we need as part of our business and operational activities.
